1. Application of Terms & Conditions

IDE Electronics International UK Ltd. (“IDE Electronics International”, “IDE”, “we”, “us” or “our”) supplies products and services subject to these Terms & Conditions and to any specific terms stated in our quotations, order confirmations or invoices.

It is the Customer’s responsibility to verify that the products, specifications, revisions, quantities and services quoted are suitable for their intended application before placing an order.

By placing an order with IDE Electronics International, the Customer confirms acceptance of these Terms & Conditions.

Where specific terms stated in a quotation or order confirmation conflict with these general Terms & Conditions, the specific written terms shall prevail.


2. PRODUCT CONDITIONS

Due to the nature of the industrial automation market, IDE Electronics International supplies current, obsolete and discontinued products from manufacturers and independent supply channels worldwide.

Unless otherwise expressly stated, IDE Electronics International is an independent supplier and is not an authorised distributor, representative or affiliate of the manufacturers whose products we supply.

The condition of each product will be stated in our quotation and/or order confirmation.

NEW IN FACTORY SEALED BOX – FSB

Product is new, genuine and unused, supplied in the manufacturer’s original box with the original manufacturer seal intact.

The product has not been previously used or installed.

As some products may originate from older or discontinued stock, the manufacturing date, revision or series may be older, and the external packaging may show reasonable signs of age, storage or shelf wear.

Original documentation, accessories and internal packaging are included as originally packed by the manufacturer, subject to the contents of the sealed package.

IDE Electronics International does not open sealed manufacturer packaging to verify its internal contents unless specifically agreed with the Customer prior to shipment.

NEW IN FACTORY BOX – FOB

Product is new, genuine and unused, supplied in the manufacturer’s original box or packaging.

As these products may originate from older, surplus or discontinued stock, the manufacturing date, revision or series may be older.

Due to long-term storage, handling or previous movement through the supply chain, the outer and/or inner packaging may show signs of age, shelf wear, labels, marks or deterioration, and the manufacturer’s original seal may not always be present or intact.

Original manuals, documentation, inserts, accessories, protective materials and internal packaging may not be included unless specifically stated in our quotation or order confirmation.

The absence of such items does not constitute a defect or evidence that the product has previously been used.

NEW IN IDE BOX – NNB

Product is new, genuine and unused, but is supplied in IDE Electronics International packaging rather than the manufacturer’s original box.

The product has not been previously used in a production environment. As these products may originate from older, surplus or discontinued stock, the manufacturing date, revision or series may be older.

The manufacturer’s original packaging may have been lost, damaged, deteriorated or considered unsuitable for shipment due to age, storage or previous handling within the supply chain. IDE Electronics International may therefore repackage the product using suitable protective packaging to ensure safe storage and transportation.

Original manufacturer seals, manuals, documentation, inserts, accessories and internal packaging are not guaranteed and may not be included unless specifically stated in our quotation or order confirmation.

The absence of the manufacturer’s original packaging, seal, documentation, accessories or internal packaging does not indicate that the product has previously been used and shall not constitute grounds for rejection or return, provided that the product corresponds to the condition and specification stated in our quotation.

USED (APPROVED) – UNB

Product is genuine and previously used, and has been professionally inspected, tested and, where necessary, repaired, serviced or refurbished to ensure proper functionality.

Refurbished products may show cosmetic signs of previous use, including scratches, marks, discoloration, previous labels or other reasonable cosmetic imperfections that do not affect functionality.

Original manufacturer packaging, seals, manuals, documentation, accessories and internal packaging are not guaranteed unless specifically stated in our quotation or order confirmation.

Products may be supplied in suitable replacement packaging.


3. Product Age, Packaging and Documentation

The Customer acknowledges that many products supplied by IDE Electronics International are obsolete, discontinued or legacy industrial automation products which may have been manufactured and stored for a considerable period of time.

Accordingly, unless specifically agreed otherwise in writing:

  • Manufacturing dates and date codes are not guaranteed.
  • A particular hardware or firmware revision is not guaranteed unless specifically stated in the quotation.
  • Manufacturer packaging may show reasonable deterioration, shelf wear, labels or signs associated with long-term storage.
  • Manuals, certificates, software, cables, connectors, mounting hardware, batteries and other accessories are not included unless specifically stated.
  • Photographs displayed on our website, quotations or other sales material may be representative and are provided for identification purposes only.

Age, date code, cosmetic condition of packaging, absence of documentation or absence of accessories shall not constitute grounds for rejection or return where the product otherwise corresponds to the condition and specification stated in our quotation.


4. International Customers, Customs and Inspection

Goods may be dispatched from different global locations.

The Customer is responsible for all applicable import duties, taxes, customs clearance charges and other charges imposed by the destination country unless IDE has expressly agreed otherwise in writing.

Customs authorities, carriers or other governmental authorities may inspect shipments and may open manufacturer packaging or break manufacturer seals.

Where IDE has supplied a product as New in Sealed Manufacturer Box, the opening or removal of the original seal by customs authorities, carriers or governmental authorities after dispatch shall not alter the underlying condition of the product and shall not constitute grounds for cancellation, rejection or return.

IDE Electronics International cannot be held responsible for delays caused by customs clearance or governmental inspection.

Any special customs documentation, certificates or declarations required by the Customer must be requested before the order is placed.


5. Sales and Orders

No variation of these Terms & Conditions shall be binding unless agreed in writing by an authorised representative of IDE Electronics International.

Availability and prices are subject to change until the Customer’s order has been accepted and, where applicable, payment has been received.

Due to the nature of obsolete and discontinued industrial products, availability may change without notice.

Goods cannot be reserved unless expressly confirmed by IDE Electronics International.

Photographs, specifications and descriptions contained on our website, catalogues, quotations or other documents are intended primarily as a guide. Customers are responsible for confirming the manufacturer’s reference and technical suitability for their application.


6. Cancellation

Once an order has been accepted by IDE Electronics International, it is non-cancellable and non-returnable unless otherwise agreed in writing.

Where IDE agrees exceptionally to a cancellation, the Customer may be responsible for costs already incurred by IDE, including supplier cancellation charges, shipping, handling, inspection, banking costs and any loss resulting from the cancellation.

Products specially sourced, obsolete/discontinued products and products specifically purchased or reserved for a Customer are non-cancellable and non-returnable, except where confirmed defective under the applicable warranty.


7. Returns

No product may be returned without prior written authorisation from IDE Electronics International and issuance of return instructions.

Unauthorised returns may be refused.

Any claim relating to an incorrect product, shipping damage or visible discrepancy must be reported to IDE Electronics International in writing within 7 days of delivery.

Products returned must be appropriately packaged and must not have been opened, dismantled, modified, repaired or otherwise altered by the Customer or any third party unless IDE has given prior written authorisation.

A return will not be accepted solely because of:

  • Age or cosmetic condition of manufacturer packaging;
  • Missing manuals, documentation, accessories or internal packaging where these were not specifically included in the quotation;
  • Manufacturer date code or production date;
  • Broken or absent manufacturer seal where the product was quoted as New in Manufacturer Box rather than New in Sealed Manufacturer Box;
  • Customs or carrier inspection;
  • Customer ordering error or incompatibility with the Customer’s application.

8. Standard Warranty

Unless otherwise expressly stated in our quotation, new products supplied by IDE Electronics International are covered by a 24-month IDE Electronics International warranty from the date of delivery. Used products supplied by IDE Electronics International are covered by a 12-month IDE Electronics International warranty from the date of delivery

The warranty covers functional failure of the supplied product under normal operating conditions.

In the event of a suspected failure, the Customer must notify IDE Electronics International and obtain return authorisation before returning or opening the product.

The allegedly defective product must be returned to IDE for inspection and testing.

Where a valid warranty claim is confirmed, IDE Electronics International will, at its discretion:

  • Repair the product;
  • Replace it with a product of the same or equivalent condition and specification; or
  • Issue a credit or refund where repair or replacement is not reasonably available.

Replacement products do not necessarily have to carry the same serial number, manufacturing date, date code or cosmetic packaging condition as the original product.


9. Warranty Exclusions

The warranty shall not apply where the product has:

  • Been incorrectly installed, connected or commissioned;
  • Been operated outside the manufacturer’s specifications;
  • Been subjected to misuse, negligence, accident, electrical surge, incorrect voltage, environmental damage or improper storage;
  • Been opened, dismantled, modified, repaired or tampered with without prior written authorisation from IDE Electronics International;
  • Had serial numbers, identification labels or security markings removed or altered; or
  • Been damaged during installation, removal or transportation after delivery to the Customer.

The Customer must provide reasonable information requested by IDE to investigate a warranty claim, including photographs, installation information and fault descriptions.

IDE must be given the opportunity to inspect and test the complete product in substantially the condition in which the alleged failure occurred.


10. Payment

Payments must be made according to the terms stated on the quotation, order confirmation or invoice.

Orders placed on a pro forma basis will not be processed until payment has been received in full unless otherwise agreed in writing.

Customers with approved credit accounts must make payment within the agreed credit terms.

Failure to make payment when due may result in suspension or cancellation of existing and future orders.


11. Delivery

Delivery dates provided by IDE Electronics International are estimates and not guaranteed delivery dates, unless expressly agreed otherwise in writing.

IDE will make reasonable efforts to meet estimated delivery dates but shall not be liable for delays caused by manufacturers, suppliers, carriers, customs authorities, governmental authorities, force majeure or other circumstances outside IDE’s reasonable control.

The Customer is responsible for ensuring that the delivery address and delivery instructions supplied to IDE are correct.

Where the Customer fails or refuses to accept delivery, the Customer shall be responsible for reasonable storage, return, redelivery and associated costs.


12. Retention of Title and Risk

Risk in the goods passes to the Customer upon delivery to the delivery address stated in the order confirmation or, where the Customer arranges collection or transportation, when the goods are collected by the Customer or its nominated carrier.

Legal title to the goods shall remain with IDE Electronics International until IDE has received payment in full for those goods and any other amounts due in connection with the relevant transaction.


13. Faulty or Defective Goods

Where the Customer believes a product is defective, the Customer must notify IDE Electronics International promptly and follow IDE’s warranty return procedure.

No allegedly defective product may be opened, dismantled, repaired or modified without IDE’s prior written authorisation.

The existence of a defect shall be determined following reasonable inspection and testing by IDE or a testing facility designated by IDE.

Where a defect covered by warranty is confirmed, the remedies stated under the Standard Warranty section shall apply.

IDE Electronics International shall have no obligation to accept a return or provide a credit or refund where testing establishes that the product is functional and corresponds to the condition and specification quoted.


14. Limitation of Liability

To the fullest extent permitted by applicable law, IDE Electronics International shall not be liable for indirect or consequential losses arising from the supply, failure or use of products, including loss of production, loss of profit, loss of business, downtime or loss of opportunity.

The Customer is responsible for determining whether a product is appropriate for its machinery, system or application and for ensuring that installation and commissioning are carried out by suitably qualified personnel.

Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability for fraud or fraudulent misrepresentation or death or personal injury caused by negligence.


15. Subcontractors

IDE Electronics International may use suppliers, contractors, repair centres, testing facilities, logistics providers and other third parties in fulfilling its obligations to the Customer.

The Customer may not assign its contractual rights or obligations without IDE Electronics International’s prior written consent.


16. Confidentiality

Each party shall keep confidential any confidential commercial or technical information received from the other party and shall not disclose such information except where required for performance of the contract or by law or regulatory authority.


17. Privacy

IDE Electronics International will process personal information in accordance with its Privacy Policy and applicable data protection legislation.

18. Force Majeure

Neither party shall be liable for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, fire, flood, industrial action, war, terrorism, civil unrest, governmental action, transportation disruption, supplier disruption, telecommunications failure or other comparable events.


19. Waiver and Severability

Failure by either party to enforce any provision of these Terms & Conditions shall not constitute a waiver of that provision or any other provision.

If any provision is found to be invalid or unenforceable, that provision shall be severed to the extent necessary and the remaining provisions shall continue in full force and effect.


20. Amendments

IDE Electronics International reserves the right to amend these Terms & Conditions from time to time.

Any revised Terms & Conditions will apply to orders placed after the revised version has been published, unless otherwise agreed in writing.


21. Governing Law and Jurisdiction

These Terms & Conditions and any contract arising from them shall be governed by the applicable law and jurisdiction expressly stated in IDE Electronics International’s quotation, order confirmation or invoice.

Where no specific governing law or jurisdiction is stated, the applicable governing law and jurisdiction shall be determined according to the contracting IDE Electronics International legal entity identified on the relevant quotation or invoice.

Unless expressly stated otherwise, IDE Electronics International is not an authorised distributor, affiliate or representative of the manufacturers referenced on this website.
