Application of Terms and conditions.

IDE Electronics International UK Ltd. (we or IDE Electronics International) will supply products and services in accordance with quotations sent which will be subject to the following terms and conditions.

It is the customer’s responsibility to check all quotations and order confirmations that the supply of goods or services will fit their application, any orders placed are acceptance of our terms and conditions.

International customers

Goods will be dispatched from various global locations. Certain countries may incur import duties and taxes, the purchaser of the goods is responsible for the import and customs clearance. We will advise the point of dispatch and help with any questions you have.

Please note that goods may be inspected by customs and boxes may be opened on occasions. Regarding to this, receiving a product in a open box, having been quoted as “New in Factory Sealed Box – FSB” is not a valid reason to cancel the order.

Orders that are shipped to countries outside of the U.K. may be subject to import taxes, customs duties and fees levied by the destination country.

Customs clearance charges must be paid by the recipient. We have no control over these charges and are unable to predict the levels of these charges.

Customs policies vary widely from country to country. Please contact your local customs office for information. Customs clearance payments and/or procedures may result in delays beyond our delivery estimates.

IDE Electronics International don´t accept any liability regarding not providing any kind of documents for customs purposes if they haven´t been asked for at the time of placing the order.

Sales and Service

No variation of these terms and conditions will be binding unless confirmed in writing between the authorized representatives of IDE Electronics International and the customer.

IDE Electronics International reserves the right to alter any sales literature, price list and other documents without notice. Contracts for the sale of goods and services shall be binding on IDE Electronics International unless an order is placed by the customer and IDE Electronics International has confirmed the order in writing, provided a final invoice or delivered the goods.

IDE Electronics International have no control over sudden Manufacturer price increases or stock level fluctuations. No goods can be held or reserved until an order is placed and payment is received.

Photographs and descriptions whether in catalogues, brochures, price lists or other documents issued by IDE Electronics International are intended as a guide only and will not be binding.

We reserve the right to make any changes in the specification of the Goods which are required to conform with any applicable safety or other statutory or regulatory requirements, which do not materially affect their quality or performance on the customers application.

Subcontractors

IDE Electronics International reserves the right to assign the contract or any part of it to any contractor (person, firm or company) without prior consent of the Customer.

The Customer is not entitled to reassign the contract or any part of it without prior written consent of IDE Electronics International.

Cancellation

No order which has been accepted by IDE Electronics International may be cancelled by the Customer except with the agreement in writing of the Supplier on the terms that the Customer shall indemnify IDE Electronics International in full against all loss (including loss of profit), costs (including the cost of all labour and materials used), damages, charges and expenses incurred as a result of such cancellation.

Returns

The buyer will have the right to return the product purchased from IDE Electronics within 7 days of receiving it as long as the product is defective and it has not been used. In this case, IDE Electronics will refund the purchase amount to the buyer by means of a credit in his account with IDE Electronics, deducting possible bank charges and product storage charges.

To proceed with the return, the customer must send the product to IDE Electronics within 7 days of receiving it.

The product must be in perfect condition and in its original packaging and in a sealed box if it was sent that way. The cost of shipping the product to IDE Electronics will be paid by the buyer and no refund will be accepted after 7 days from the receiving date of the product by the buyer.

Once IDE Electronics has received the product and it has been confirmed that it is in perfect condition, the buyer will be informed of the amount to be paid to its credit account with IDE Electronics and the date for applying it.

Standard warranty

IDE Electronics International provides 24 months warranty with any new part, and 18 months warranty with any used or repair part sold by us. This means that in the unlikely case of one part sold by IDE Electronics International fail within the warranty period, customer will just need to inform IDE Electronics International about the fault by email and IDE Electronics International will send the customer another unit in same condition that the faulty one.

To make it clear if unit originally purchased was new, IDE Electronics International will send another new one. If unit purchased was used, IDE Electronics International will send another used one.

The Buyer must send the faulty unit to IDE Electronics paying for the shipping costs before IDE Electronics send the replacement unit. Once the faulty unit has been tested, shipping costs will be refunded if warranty applies.

When a replacement unit be delivered, a new 24 or 18 months warranty period will start again.

Payment

All payments should be made to IDE Electronics International as indicated on the order acknowledgemet or invoice issued by IDE Electronics International.

Orders placed on a pro forma basis will not be processed until payment is received in full. Credit accounts must be paid to the terms agreed between the authorised representative at IDE Electronics International and the customer, late payment may result in the credit account being cancelled.

With exception to any special terms agreed in writing between IDE Electronics International and the customer, IDE Electronics International shall send a final invoice to the customer at the time on any time after delivery of the goods.

If the Customer fails to make payment on the due date the IDE Electronics International without prejudice reserve the right to cancel the order and suspend any further orders or deliveries.

Delivery

Delivery of the goods will be made to customer address as confirmed on the order confirmation sent by IDE Electronics International. It is the Customers responsibility to ensure the delivery address they provide is correct.

Customers may arrange their own collection of the goods once IDE Electronics International has confirmed the goods are ready for collection.

The delivery date is an approximate only. We will always try to offer a sooner delivery date & will advise if the goods are ready for dispatch earlier than anticipated. In the event that goods are late, IDE Electronics International will advise of the delay but will not be held responsible for any late deliveries.

If the Customer fails to take delivery of the goods (failing to sign for delivery, provide any instructions or documents required or any other reason) IDE Electronics International shall be entitled to bill the customer for any costs and expenses including re-delivery charges, storage charges, return costs that may incur.

If the customer refuses delivery of the shipment to their facilities or does not reply to our collection notice, the whole shipment including all items will become the property of IDE Electronics International after 60 days. In such cases, no payment will be due to customer and IDE Electronics International will not bear any liability.

IDE Electronics International shall have no liability for late deliveries, where the goods/services are delivered after the advised delivery date, where the reason for late delivery is out of IDE Electronics International´s control, such as manufacturer delays, customer payment delay or carrier fault.

The delivery times indicated in our quotes are the standard delivery times under usual circumstances. Due to shortage of materials, many manufacturers are currently experiencing significantly longer delivery times, therefore we cannot guarantee the delivery times stated.

In some cases there are large deviations. If you have projects with deadlines, please plan sufficient time buffers for possible delivery delays.

Retention of Title and Risk

Risk of damage and/or loss of the goods shall be transferred:

  • When goods are delivered to the delivery address specified by the Customer, whether this address is the Customers premises or another location such as a carrier address.
  • When goods are installed by IDE Electronics International.
  • When goods have been collected, in the cases of Customers using their own carrier or collecting.

Legal and beneficial title shall not pass to the Customer until IDE Electronics International has received payment in full for the goods and any other monies owed.

IDE Electronics International reserves the right to repossess any goods without notice where IDE Electronics International retains the title. The goods should be stored in a suitable condition and not used in these circumstances.

The Customer’s entitlement to possession of the goods, where IDE Electronics International remains a legal benefit title if:

  • The Customer breeches any of these terms and conditions.
  • The Customer is bankrupt or becomes the subject of a bankruptcy order, or any other provision for the relief of insolvent debtors.
  • The Customer enters either compulsory or voluntary liquidation, has a receiver or other body appointed in respect of it’s assets or (undertaking any parts thereof) any documents are filed with the court or the appointment of an administrator in respect of the Customers assets, notice of the intention to appoint an administrator is given by any of the directors of the Customer, or any notice of proceedings relating to the insolvency or possible insolvency of the Customer.

Faulty or Defective Goods

If goods delivered are defective or faulty in any material aspect and the customer lawfully refuses the delivery of defective goods or the customer signs for at time of delivery as ‘condition not checked/contents and condition unknown’, and the customer gives written notice of the defect to IDE Electronics International within 7 days of delivery, IDE Electronics International shall:

  • Replace the defective goods or refund the price of the goods which are defective if we are unable to source.
  • No goods shall be returned to IDE Electronics International without prior agreement in writing and a return procedure is issued by IDE Electronics International.

If IDE Electronics International is satisfied that the goods are faulty in condition or quality, as described by the customer, they shall either be replaced free of charge or at IIDE Electronics International’s discretion, the Customer shall be refunded the price of the goods, but IDE Electronics International holds no further liability to the customer.

IDE Electronics International have no obligation to credit or accept return of any goods that are not defective apart of 15 days money back guarantee.

The Customer must ensure that the goods are installed and used according guidelines or manufacturer instructions.

The Customer will indemnify IDE Electronics International against any liability, loss or damage that IDE Electronics International may suffer as a result of the Customers failure to comply with these conditions.

Liability

IDE Electronics International will not be liable for any loss, damage, cost, expenses or any other claims that arise with the supply of goods and services

The Customer shall indemnify IDE Electronics International against any damages, loss or expenses from those that are caused by the Customer or the Customers agents or employees

IDE Electronics International will not be liable to the Customer for any delay in IDE Electronics International’s obligations if the delay was beyond IDE Electronics International’s reasonable control.

Nothing in these Terms and Conditions excludes or limits the liability of the Supplier:

  • For death or personal injury caused by the Supplier’s negligence; for any matter which it would be illegal for the Supplier to exclude or attempt to exclude its liability
  • For fraud or fraudulent misrepresentation.

Confidentiality

Each part involved with any transactions during the contract and after it has terminated shall at all times;

  • Keep all private and company information confidential
  • Not disclose any confidential information to any other person
  • Not use any confidential information for a purpose not relating to the supply of goods or services
  • Will not make any copies or record in any way any confidential information
  • Ensure that none of it’s employees, directors or agents do any act that would breach the above clauses

Either party may disclose information when requested by a government body or other official or regulatory body

Privacy

IDE Electronics International do not collect or store customer credit or debit card numbers or any other financial information.

IDE Electronics International will protect your data and will safeguard and secure any data collected.

Force Majeure

Neither Party shall be liable for any failure or delay in performing their obligations where such failure or delay results from any cause that is beyond the reasonable control of that Party.

Such causes include, but are not limited to: power failure, Internet Service Provider failure, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of the Party in question.

Waiver

The Parties agree that no failure by either Party to enforce the performance of any provision in these Terms and Conditions or under the Contract shall constitute a waiver of the right to subsequently enforce that provision or any other provision.  Such failure shall not be deemed to be a waiver of any preceding or subsequent breach and shall not constitute a continuing waiver.

Severance

In the event that one or more of the provisions of these Terms and Conditions or the Contract are found to be invalid or otherwise unenforceable, then those provisions shall be deemed severed from the remainder of these Terms and Conditions (and, by extension, the Contract).  The remainder of these Terms and Conditions and the Contract shall still be valid and enforceable.

IDE Electronics International reserves the right to change this policy as we deem necessary or may be required by law.

Any changes will be published on the website and any use of the website or interaction with IDE Electronics International after it has been published will deem you to have accepted the terms of the policy.

Laws and Jurisdiction

These Terms and Condicions and the Contract (including the non-contractual matters and obligations arising or associated with them) will be governed and ruled in accordance with the laws of Spain.

Any dispute, controversy, procedure or claim between the parties in relation to these Terms and Conditions will be within the jurisdiction of the courts od Spain.
